TERMS AND CONDITIONS OF SALE

Welcome to the web site of Americal Corporation (“Americal”). If you shop and purchase items (“Items”) from this web site, you accept and agree to be bound by Americal’s Terms and Conditions of Sale (“Terms”). No other terms and conditions shall become part of an agreement between you and Americal or bind Americal.

ORDERING AND PRICING

The price displayed for products on our web site represents the full retail price listed for the Item itself. Orders placed with Americal on this web site will be charged in U.S. dollars. If you live in Canada or Mexico, this charge is converted by your bank into your local currency and should appear on your credit card statement in that currency. We currently do not ship orders to any other countries other than the United States, Canada and Mexico. When you select an item to purchase, that item will be submitted to your “Shopping Basket.” Items in your Shopping Basket will always reflect the most recent price displayed on the item's product detail page. Please note that this price may differ from the price shown for the Item when you first placed it in your basket. Placing an Item in your basket does not reserve the price shown at that time. It is also possible that an Item's price may decrease between the time you place it in your basket and the time you purchase it. The price shown in your Shopping Basket does not include sales taxes or shipping charges which will be added upon check out. The amount of tax charged depends upon many factors, including the destination of the shipment. The tax rate applied to your order will generally be the combined state and local rate for the address where your order was shipped. Therefore, the sales tax rate applied to your order may be different for an order shipped to your home address than it is for an order for the same items shipped to a different address. The final tax rate will appear on the packaging ship when you receive your Item.

PAYMENT

All payments must be made by the following credit cards or bank cards: VISA, MasterCard and American Express. Payment must be authorized by your credit card or bank card before the Item is delivered to the delivery carrier form shipment.

DELIVERY AND SHIPMENT.

When you place an order, we will estimate shipping costs and delivery dates for you based on the availability of your Item and the shipping option you chose. The total price of the Item charged to your payment method will include delivery charges. Americal will not be responsible for any damage to any Item caused during delivery, and your sole recourse for that damage shall be against the delivery carrier. All delivery schedules and dates given by Americal are estimates only.

WARRANTY

Americal warrants that all Items will be free from defects at the time the Items are placed with the delivery carrier. EXCEPT AS OTHERWISE STATED, AMERICAL HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE QUALITY OF THE ITEMS AVAILABLE FOR PURCHASE ON THE WEB SITE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

RETURNS, EXCHANGES AND REFUNDS

You may return an Item which is not defective within 30 days after delivery for a full refund or exchange. You will be required to pay all return shipping charges. If your Items contain defects when you receive them or if you wish to return or exchange the Item for any other reason, you may (a) exchange the defective Item for the same Item if it is available, (b) exchange the Item for a different Item and pay the difference between price of the new item and the returned item, or (c) request a refund of your purchase price. In all cases, Americal will accept for return, exchange or refund only Items in new condition and in original packaging. If you are exchanging or returning a product as a result of our error, we will pay the return shipping costs by crediting your credit card. Your exchange of the defective Item or refund for the purchase price of the defective item shall be Americal’s only liability with respect to the defective Item and your only remedy. Americal will not issue any refunds or replacement Items until it has received and inspected the Item you returned.

DAMAGE LIMITATIONS AND WAIVER OF CONSEQUENTIAL DAMAGES

IN NO EVENT SHALL AMERICAL BE LIABLE TO YOU FOR ANY AMOUNTS WHATSOEVER IN EXCESS OF YOUR PURCHASE PRICE IN CONTRACT, TORT OR OTHERWISE, INCLUDING SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, EVEN IF AMERICAL HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

CANCELLATION

You may cancel your order at anytime before America (a) charges your credit card for the purchase of the Item and (b) places your Item with a common carrier. If you cancel your order after your account is charged and your Item is shipped, you may exchange or return the item after you receive it for a refund of the purchase price in accordance with the “RETURNS, EXCHANGES AND REFUNDS” section above.

FORCE MAJUERE

Americal shall not be in breach of any contract because of, or liable for delays or failure to perform directly or indirectly resulting from, (a) events or causes beyond Americal’s reasonable control, acts of God or the public enemy, criminal acts of third parties, acts and omissions of any governmental authority, changes in the law, declared or undeclared wars, accidents, riots, terrorism, strikes, picketing or other labor disputes, fires, natural calamities, floods, earthquakes, storms, epidemics, (b) the threat of any of the foregoing, or (c) delays in obtaining (or the inability to obtain) labor, materials or services through Americal’s usual sources at normal prices and normal terms.

MODIFICATION AND APPLICABLE LAW

Americal may modify these Terms at anytime. Americal will provide advance notice on our web site of the effective date of any changes to our privacy policy. These Terms and any controversy relating to this Terms shall be governed by the law of the State of North Carolina, United States of America, excluding its conflicts of law principles. Any action or proceedings relating to these Terms or their enforcement shall be commenced and heard only in the federal or state courts for the State of North Carolina. You hereby consent and submit to the jurisdiction and venue of those courts. These Terms contain the entire agreement of the parties relating to the subject matter and supersede all pervious and contemporaneous agreements, understandings, usages of trade and course of dealing, whether written or oral. You should visit this web site periodically to determine the current Terms that apply. Otherwise, these Terms may only be modified by a written agreement signed by you and Americal.
